Terms of Service
These Terms and Conditions ('Terms') govern access to and use of the services provided by Oncron Software GbR, Elsterstr. 4, 04109 Leipzig, Germany ('Oncron', 'we', or 'us') via our website oncron.de and related cloud-based applications (collectively, the 'Services'). By accessing or using the Services, the Client ('you') agrees to be bound by these Terms. If you are entering into this agreement on behalf of an entity, you represent that you have authority to bind that entity.

1. Scope of Service
Oncron provides a subscription-based cloud software platform offering access to web applications, APIs, analytical dashboards, and related documentation. Access and specific features may be subject to individual contracts.
2. Account Registration
Accounts may be created through self-registration or by Oncron. Each user must maintain the confidentiality of login credentials and may not share account access. The Client is responsible for all activities conducted through its authorized users.
3. Licence and Use Restrictions
Oncron grants the Client a non-exclusive, non-transferable, limited licence to access and use the Services solely for internal business purposes during the agreed subscription or evaluation term.
Unless explicitly permitted in writing, the Client may not:
- Copy, modify, or create derivative works of the software;
- Reverse-engineer, decompile, or disassemble the software;
- Resell, sublicense, or distribute the Services.
4. Client Data
'Client Data' means operational, infrastructure, or delay data submitted by the Client, excluding data generated by the Services. The Client retains full ownership of Client Data.
Oncron processes Client Data only to provide, maintain, and improve the Services. Oncron may analyze and anonymize Client Data to create aggregated performance metrics or datasets for algorithmic improvements. Aggregated data will not identify the Client and may be used for benchmarking, system enhancements, or research.
5. Intellectual Property
All rights, title, and interest in and to the Services, including software, algorithms, models, and documentation, remain the exclusive property of Oncron. The Client may not remove or obscure proprietary notices.
Any suggestions or feedback submitted by the Client may be freely used by Oncron to improve its Services.
6. Third-Party Services
The Services may include integrations with third-party platforms. Oncron disclaims liability for the availability or performance of such third-party services.
7. Fees and Payment
Fees, billing cycles, and payment methods are governed by the individual contract with each Client. Unless otherwise agreed, fees are non-refundable and subscriptions are not cancellable mid-term.
8. Term and Termination
These Terms remain in effect for the duration of the agreed subscription or until terminated. Oncron may suspend or terminate access immediately, without prior notice, for:
- Breach of these Terms;
- Non-payment;
- Misuse or conduct harmful to Oncron, its users, or third parties.
Upon termination, all licences granted herein cease immediately.
9. Disclaimers
The Services are provided 'as is' and 'as available.' Oncron makes no express or implied warranties regarding fitness for a particular purpose, accuracy, or uninterrupted availability.
10. Limitation of Liability
To the maximum extent permitted by law:
- Oncron's liability is limited to the fees paid by the Client in the twelve (12) months preceding the claim;
- Oncron shall not be liable for indirect, incidental, or consequential damages, including lost profits or data;
- Nothing in these Terms excludes liability for intent, gross negligence, or legal obligations that cannot be waived.
11. Decision Support Disclaimer
The Services provide analytical insights and recommendations to support human decision-making. Final operational decisions are solely the responsibility of the Client.
Outputs are probabilistic, depend on input data quality, and are not deterministic or binding. Oncron assumes no liability for operational outcomes, delays, or incidents resulting from reliance on its outputs.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany. Courts located in Leipzig shall have exclusive jurisdiction.
13. Changes to Terms
Oncron reserves the right to modify these Terms at any time. Material changes will be communicated via the website or email. Continued use of the Services constitutes acceptance of the updated Terms.
